1. Acceptance of Terms

Welcome to Easy UCP. By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our service.

These Terms constitute a legally binding agreement between you and Easy UCP. We reserve the right to modify these Terms at any time. Continued use of the service after changes constitutes acceptance of the modified Terms.

1.1 Analytics and Tracking Consent

By using our website and service, you consent to the collection and processing of website analytics and visitor tracking data as described in our Privacy Policy. This includes:

• Web Analytics: We use Plausible Analytics, a privacy-friendly analytics service that does not use cookies or track personal data. Plausible collects aggregated pageview data, traffic sources, and conversion events to help us improve our service.
• User Behavior Tracking: When you sign up for our founders list or create an account, we collect and store additional data in our Supabase database including: email address, store URL, subscription tier, UTM campaign parameters (utm_source, utm_medium, utm_campaign, etc.), referrer information, landing page, user agent (browser/device info), number of pages viewed, and time spent on site.
• Purpose: This data is used to understand how users find and interact with our service, measure marketing campaign effectiveness, improve user experience, and send service-related communications.
• No Sale of Data: We do not sell or share your personal data with third parties for their marketing purposes.

2. Service Description

Easy UCP provides Universal Commerce Protocol (UCP) integration services that make e-commerce stores discoverable by AI shopping agents. Our service is platform-agnostic and works with WooCommerce, Magento, BigCommerce, Shopify, and custom e-commerce platforms.

We provide:

• UCP-compliant endpoints for your product catalog
• AI agent analytics and tracking
• Ongoing protocol maintenance and updates
• Customer support

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use Easy UCP. By using our service, you represent and warrant that you meet these requirements.

If you are using the service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

4. Account Registration

To use Easy UCP, you must:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

You may not share account credentials or transfer your account to another party without our written consent.

5. Pricing and Payment

5.1 Lifetime Pricing

Easy UCP offers lifetime access pricing during our launch period:

• Micro (< 100 products): $199 one-time
• Small (100-1,000 products): $399 one-time
• Medium (1,000-10,000 products): $599 one-time
• Large (10,000+ products): $999 one-time

5.2 Founders List

Joining the founders list reserves your spot and locks in lifetime pricing. Payment is due when we launch (approximately 2 weeks). Founders list membership does not create a binding obligation to purchase until you complete payment at launch.

5.3 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the specified amount. All fees are in USD unless otherwise stated.

5.4 Taxes

Prices do not include applicable taxes, VAT, or similar charges, which will be added to your invoice as required by law.

5.5 Price Changes

After launch, lifetime pricing will no longer be available. We reserve the right to introduce monthly subscription pricing or modify pricing for new customers. Existing lifetime access customers will not be affected by future price changes.

5.6 Lifetime Access Limitations and Modifications

IMPORTANT: Easy UCP is an early-stage startup. Lifetime access is subject to the following conditions:

• Service Changes: We reserve the right to modify, pivot, or fundamentally change the service offering. If changes materially affect core functionality, we will provide 60 days' notice and offer a pro-rated refund based on reasonable service valuation.
• Service Discontinuation: As a startup, we may need to shut down or discontinue the service (see Section 10.4). Lifetime access does not guarantee perpetual service availability.
• Feature Changes: Specific features may be added, removed, or modified. Lifetime access guarantees access to the core UCP integration service but not to any specific feature set.
• Protocol Changes: Universal Commerce Protocol is an evolving standard. We will maintain compatibility as the protocol evolves, but significant protocol changes may require service modifications.
• Performance Expectations: Lifetime access does not include guarantees of specific uptime SLAs, support response times, or performance metrics beyond reasonable best efforts.

By purchasing lifetime access, you acknowledge that you are supporting an early-stage startup and accept the inherent risks of service changes, pivots, or discontinuation. Your lifetime access payment is an investment in the current service vision with the understanding that startups must remain flexible to survive and adapt.

6. Refund Policy

6.1 30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee from the date of purchase. If you are not satisfied with Easy UCP within 30 days, contact us at hello@easyucp.com for a full refund.

6.2 Refund Process

Refund requests must be submitted via email to hello@easyucp.com. Refunds are processed within 5-10 business days to the original payment method. Upon refund, your access to Easy UCP will be terminated and your product data will be removed from our platform within 30 days.

6.3 Exceptions

Refunds are not available after 30 days from purchase date or if your account has been terminated for violation of these Terms.

7. Acceptable Use

You agree to use Easy UCP only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Upload illegal, fraudulent, or counterfeit products
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Use automated tools to scrape or access the service (except AI agents accessing your UCP endpoints)
• Resell or redistribute the service without authorization
• Impersonate another person or entity
• Upload products for adult content, weapons, drugs, or other prohibited categories (contact us for clarification)

8. Product Data

8.1 Your Responsibilities

You are solely responsible for:

• Accuracy and legality of product information you upload
• Compliance with consumer protection laws
• Honoring orders and fulfillment
• Customer service and returns
• Maintaining accurate inventory and pricing
• Rights to use product images and descriptions

8.2 License to Use Product Data

By uploading product data, you grant Easy UCP a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your product information via UCP endpoints for the purpose of making your products discoverable to AI shopping agents.

8.3 Public Accessibility

Product data made available via UCP is publicly accessible by design. Easy UCP makes your products discoverable to AI agents - this is the core service. Do not upload sensitive, confidential, or proprietary information beyond standard product catalog data.

8.4 Data Ownership

You retain all ownership rights to your product data. Upon account termination, your product data will be removed from UCP endpoints within 30 days (excluding archival backups retained for legal compliance).

8.5 Confidentiality and Data Handling

Easy UCP treats your merchant data with care and implements reasonable security measures to protect your information:

Data Processing and Storage:

• Authorized Use Only: We process your product data solely for the purpose of providing UCP integration services (making products discoverable to AI agents).
• No Unauthorized Sharing: We do not sell, rent, or share your product data with third parties for marketing purposes.
• Service Providers: We may share data with service providers (cloud hosting, payment processing, analytics) who are contractually obligated to protect your data and use it only for providing our service.
• API Access: Your product data is accessible via public UCP endpoints by design - this is the core service. AI agents and other UCP consumers can access this public data.
• Internal Analytics: We may analyze aggregated, anonymized data across all merchants for service improvement, but will not disclose your specific business data publicly.

Security Measures:

• Industry-standard encryption for data transmission (HTTPS/TLS)
• Secure cloud storage with access controls
• Regular security updates and monitoring
• Restricted employee access on need-to-know basis
• Incident response procedures

Data Processing Limitations:

• No Guarantee of Security: While we implement reasonable security measures, no system is 100% secure. We cannot guarantee that unauthorized access, hacking, data loss, or breaches will never occur.
• Your Responsibility: You are responsible for the security of your account credentials and for any data you choose to upload to the service.
• Sensitive Data: Do not upload sensitive information (customer personal data, payment information, trade secrets, proprietary business data) beyond standard product catalog information (names, descriptions, prices, images, specifications).
• Breach Notification: In the event of a data breach affecting your merchant data, we will notify you within 72 hours of becoming aware of the breach and provide information about the nature of the breach and steps taken to address it.

By uploading product data to Easy UCP, you acknowledge that: (1) the data will be publicly accessible via UCP endpoints, (2) we implement reasonable but not perfect security measures, (3) you accept the inherent risks of data processing by a startup service, and (4) you have not uploaded sensitive or confidential information beyond standard product catalog data.

9. Intellectual Property

9.1 Easy UCP Ownership

Easy UCP and its original content, features, and functionality are owned by Easy UCP and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 Trademarks

"Easy UCP," our logo, and related marks are trademarks of Easy UCP. You may not use these marks without our prior written permission.

9.3 UCP Protocol

Universal Commerce Protocol (UCP) is an open standard. Easy UCP provides implementation services but does not own the UCP specification.

10. Service Availability

10.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may experience downtime due to maintenance, updates, or circumstances beyond our control.

10.2 Maintenance

We reserve the right to perform scheduled maintenance with reasonable advance notice. Emergency maintenance may occur without notice.

10.3 Service Modifications

We may modify, suspend, or discontinue any aspect of the service at any time. We will provide reasonable notice for material changes affecting paid users.

10.4 Service Shutdown and Discontinuation

AS A STARTUP, EASY UCP RESERVES THE RIGHT TO SHUT DOWN OR DISCONTINUE THE SERVICE AT ANY TIME.

Circumstances that may lead to service shutdown include but are not limited to:

• Financial unsustainability or inability to secure funding
• Acquisition, merger, or business restructuring
• Fundamental changes to UCP protocol making our service obsolete
• Legal, regulatory, or compliance requirements
• Technical infeasibility or security concerns
• Strategic business pivot or direction change

Shutdown Procedure:

• Notice Period: We will make reasonable efforts to provide advance notice before service shutdown, targeting 90 days when possible. However, in cases of financial insolvency, emergency situations, legal requirements, or unforeseen circumstances, immediate shutdown may be necessary without advance notice.
• Data Export: If technically feasible during a shutdown period, you will have the ability to export your product data and analytics. However, in emergency shutdown scenarios, data export may not be available.
• Compensation: Easy UCP does NOT guarantee any refund or compensation in the event of service shutdown. If the company has sufficient financial resources at the time of shutdown, we may, at our sole discretion and ability, offer partial compensation to lifetime access customers. However, you acknowledge that startups may shut down due to financial constraints, and no refund may be possible.
• Best Effort Only: Any compensation, migration assistance, or alternative service introductions are provided on a best-effort basis only and are not guaranteed.
• No Liability for Shutdown: Easy UCP, its officers, directors, employees, and investors have no financial liability for service shutdown beyond any discretionary compensation we choose to provide. You will not be entitled to compensation for lost business, opportunity costs, migration expenses, or any other consequential damages resulting from service shutdown.

By using Easy UCP, you acknowledge and accept that this is a startup service and that permanent service availability cannot be guaranteed. The pro-rated refund structure represents our good faith effort to balance business viability with customer fairness.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

STARTUP SERVICE DISCLAIMER: Easy UCP is an early-stage startup operating with limited resources. By using this service, you acknowledge the inherent risks of relying on startup services, including service changes, performance issues, bugs, downtime, data loss, and potential service shutdown.

Easy UCP, its officers, directors, employees, contractors, investors, advisors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data, product information, or analytics
• Cost of substitute services or migration expenses
• Business interruption or downtime
• Lost sales, orders, or conversions from AI agent traffic (or lack thereof)
• Reputational damage or lost customer relationships
• Damages resulting from service shutdown, pivot, or discontinuation
• Damages from service errors, bugs, security breaches, or data loss
• Damages from third-party actions (AI agents, payment processors, cloud providers, etc.)
• Any damages arising from reliance on this service for critical business operations

Maximum Liability Cap:

Our total aggregate liability for ANY AND ALL claims arising from these Terms, your use of the service, or any related matter shall not exceed the LESSER of: (a) the amount you actually paid to Easy UCP in the 12 months preceding the claim, OR (b) $100 USD.

For lifetime access customers in the event of service shutdown, our maximum liability is limited to the amount paid for lifetime access, and only if we have the financial resources to provide compensation (which is not guaranteed - see Section 10.4).

Critical Business Operations Warning:

DO NOT rely on Easy UCP as a critical, mission-critical, or sole component of your business infrastructure. This is a startup service that may experience failures, changes, or shutdown. Always maintain backup solutions and alternative plans for your business operations.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Acknowledgment:

By using Easy UCP, you explicitly acknowledge and agree that: (1) you understand this is an early-stage startup service, (2) you accept all risks associated with using startup services, (3) you will not hold Easy UCP or its stakeholders liable for damages beyond the strict limitations described above, and (4) the limitations in this section are fundamental to our business model and pricing structure.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the service will be uninterrupted, error-free, or secure
• Warranties regarding accuracy, reliability, or quality of the service
• Guarantees of specific sales, conversions, or AI agent traffic

We do not warrant that AI shopping agents will discover or purchase products from your store. UCP integration increases discoverability but does not guarantee sales or traffic.

13. Indemnification

You agree to indemnify, defend, and hold harmless Easy UCP, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your product data or product listings
• Your violation of any third-party rights
• Your violation of applicable laws

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting hello@easyucp.com. Lifetime access customers are not entitled to refunds after the 30-day guarantee period.

14.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if you violate these Terms or engage in fraudulent, illegal, or abusive behavior. No refunds will be provided for accounts terminated for cause.

14.3 Effect of Termination

Upon termination:

• Your access to the service will cease immediately
• Your UCP endpoints will be deactivated
• Your product data will be removed within 30 days (except archival backups)
• Provisions regarding liability, indemnification, and dispute resolution survive termination

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal dispute resolution, contact us at hello@easyucp.com to resolve the issue informally. Most disputes can be resolved through good faith communication.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles.

15.3 Arbitration

Any dispute arising from these Terms or use of the service shall be resolved through binding arbitration rather than in court, except where prohibited by law. Arbitration is less formal than a lawsuit and uses a neutral arbitrator instead of a judge or jury.

You waive your right to a jury trial and to participate in class actions.

15.4 Exceptions

Either party may seek equitable relief in court for intellectual property infringement or misuse of confidential information.

16. Third-Party Services

Easy UCP integrates with third-party services (payment processors, cloud providers, etc.). We are not responsible for the actions, policies, or content of third parties. Your use of third-party services is subject to their terms and conditions.

17. Force Majeure

Easy UCP shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, pandemics, government actions, or infrastructure failures.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Easy UCP regarding the service and supersede all prior agreements and understandings.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

21. Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

22. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered users with 30 days' notice. Continued use after changes constitutes acceptance.

If you do not agree to modified Terms, you must stop using the service. Lifetime access pricing and core service features will not be negatively impacted by Terms changes.
